Empyrean Technology to Acquire Controlling Stake in Easy-Logic for $32.9 Million
China's electronic design automation (EDA) company Empyrean Technology plans to acquire a controlling stake in Easy-Logic Technology for 219 million yuan (approximately $32.9 million), strengthening its software portfolio for digital chip design. The proposed transaction is intended to close a gap in Empyrean's logic optimisation tools and support development for artificial intelligence chips and three-dimensional integrated circuits (3DIC).
Empyrean disclosed the plan on 1 November. It intends to purchase a 50.3762% stake from Easy-Logic's controlling shareholder, Wei Xing. Once the transaction is completed, Empyrean's total holding is expected to reach 73.8651%, making Easy-Logic a controlled subsidiary whose financial results will be consolidated into Empyrean's accounts. The consideration will be paid in instalments.
Empyrean Technology Targets a Gap in Digital EDA Tools
EDA software is used to design, verify and optimise integrated circuits before they are manufactured. As chip architectures become more complex, digital logic optimisation tools help engineers improve circuit performance, power consumption and area. Empyrean already offers a range of chip-design software, but the acquisition is aimed at strengthening its capabilities in digital logic optimisation.
Easy-Logic develops EDA tools for logic optimisation, including its Easylogic ECO product, which automates engineering change-order workflows. The company says its technology supports advanced manufacturing processes down to 5 nanometres and has been adopted by nearly 100 commercial customers. It operates research and development centres in Shenzhen, Shanghai, Beijing and Hong Kong.
Easy-Logic Technology Supports AI and 3DIC Development
The technology could add capabilities to Empyrean's full-flow digital design portfolio, particularly as demand grows for specialised AI processors and advanced chip integration. 3DIC designs stack or connect multiple dies in a single package, increasing the need for design tools that can manage complex interactions between components. The acquisition is intended to help Empyrean develop solutions for these requirements.
However, Easy-Logic is not yet profitable. It reported revenue of 27.42 million yuan and a net loss of 5.91 million yuan in the first three quarters of 2026. Empyrean has warned that the transaction could create goodwill and carries risks if Easy-Logic fails to meet performance expectations or if the value of that goodwill needs to be impaired.
Acquisition Carries Financial and Integration Risks
The deal also requires completion of the equity transfer process. Until then, Empyrean's proposed ownership and the expected technology benefits remain subject to the transaction proceeding as planned. For Empyrean Technology, the acquisition is one step towards strengthening China's domestic semiconductor design capabilities, but it does not by itself establish that local EDA suppliers can replace all foreign tools across advanced chip-development workflows.
